Sophisticated Entity Optimization
This Group program examines entity choice as an ongoing tax-planning and optimization decision rather than a one-time formation choice. Participants will compare partnership, S corporation, and C corporation regimes; evaluate S corporation reasonable compensation and retained-earnings strategies; review §1202 Qualified Small Business Stock eligibility and disqualifying traps; consider accounting method changes as a planning lever; and analyze multi-entity structures, substance requirements, and exit considerations through an anonymized case study.

Learning Objectives:
- Compare the partnership, S corporation, and C corporation regimes across payroll tax, retained earnings, basis flexibility, and exit consequences.
- Evaluate reasonable compensation positions and the documentation that defends them.
- Identify §1202 QSBS eligibility and the traps that silently disqualify stock.
- Recognize when a client's structure warrants a multi-entity optimization analysis.
Attendance Requirement
To receive the full CPE credit, participants must attend the entire program and complete all required participant engagement and completion-verification activities.
